Due diligence and project appraisal

PrintMailRate-it

The appraisal of renewable energy projects or of complete companies prior to transactions usually requires the execution of due diligence. Especially in times of continually changing laws and legal conditions the thorough analysis of a company or project is essential. In due diligence the required information is carefully compiled and then an assessment of the opportunities and risks is made. Due diligence may include the following areas.

Financial due diligence

Financial due diligence entails the investigation and appraisal of the company's accounts and financial status. Sensitivity analysis can be used to determine the group's financial situation and its funding requirements.

The results of the financial due diligence can be used as a basis for a pending company valuation.

Commercial due diligence

Commercial due diligence analyses the business model, market situation, competition and potential for growth. The assessment can be made by means of a SWOT analysis.

Tax due diligence

Tax due diligence requires an assessment of the tax situation of the subject under examination. This involves analysis of aspects of the ongoing taxation and the effects of the transaction.

Legal due diligence

Legal due diligence involves an assessment of the legal risks and opportunities and covers the areas of environmental law, planning and approval law, real estate and construction law, energy law, employment law and company law. A consideration of current rulings and legislation is essential.

We perform due diligence on the basis of our interdisciplinary business model. Our experts in the areas of law, tax and management consulting have cross-border expertise and extensive expertise in the area of renewable energy.

In addition to comprehensive due diligence, on request for individual cases we also offer red flag due diligence or quick due diligence.

A complete due diligence is usually carried out prior to an acquisition or disposal process (M&A). We are happy to advise you on the preparation of the corresponding purchase/sales contracts, corporate restructuring and tax arrangements.
